These Terms of Service (the "Terms") govern your access to and use of the ByeBear desktop application, related websites, beta downloads, and services (collectively, the "Service"), operated by Dominapp ("Dominapp", "we", "us", or "our"). By downloading, installing, creating an account, signing in, or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

1. What ByeBear Is

ByeBear is software for researching markets, reviewing portfolios, building and testing strategies, monitoring trading activity, and optionally connecting to brokerage software or APIs that you configure.

Important: Dominapp is a software provider only. We are not a broker-dealer, investment adviser, financial institution, exchange, custodian, or signal service. Nothing in the Service is investment, financial, legal, tax, or trading advice, or an offer, solicitation, or recommendation to buy or sell any security, derivative, digital asset, currency, or other financial instrument.

2. Eligibility and Accounts

You must be at least 18 years old and legally able to enter into a binding contract.
You are responsible for your Google account, device security, broker account security, and all activity that occurs through your account or device.
You agree to provide accurate information and keep it current.
We may suspend or terminate access if we reasonably believe the Service is being used fraudulently, unlawfully, unsafely, or in violation of these Terms.

3. Your Broker Relationship

Your brokerage account is opened, owned, and controlled by you. Your broker relationship is governed by your broker's own terms, policies, permissions, market data agreements, and regulatory obligations.
Broker credentials and connection settings are configured by you on your own machine. Dominapp does not hold your funds or securities and does not act as custodian.
You are solely responsible for any order, cancellation, modification, strategy, automation, or account change submitted through the Service, including actions generated by strategies or AI-assisted workflows you enable.
You must comply with all laws, exchange rules, broker rules, data agreements, and market-abuse restrictions that apply to your trading activity.

4. Trading, Automation, and AI Risk

Trading and automated trading involve substantial risk of loss. You may lose some or all of your capital. Backtests are hypothetical and may not reflect live trading, liquidity, slippage, rejected orders, fees, latency, or market impact. AI-generated content may be inaccurate, incomplete, stale, or inappropriate for your circumstances.

You must read and understand the Risk Disclosure before connecting a broker or using any live trading feature.

5. Beta Software and Availability

The Service may include beta, preview, experimental, self-signed, or pre-production software. Beta software may contain bugs, change without notice, lose data, fail to execute, execute unexpectedly, or become unavailable. Install warnings from macOS Gatekeeper, Windows SmartScreen, antivirus tools, or other security products may appear during the beta while production signing and notarization are being finalized.

We may modify, suspend, remove, or discontinue any part of the Service at any time, including beta downloads, update feeds, broker integrations, AI features, and subscription plans.

6. Subscriptions and Payment

Some features may require a paid subscription. Plan names, prices, limits, and features are shown in the app or checkout flow.
Payments are processed by third-party payment providers. We do not store full payment card numbers.
Subscriptions may renew automatically until cancelled. Cancellation takes effect at the end of the current billing period unless otherwise stated.
Except where required by law, fees are non-refundable.

7. License and Acceptable Use

Subject to these Terms, we grant you a limited, personal, non-exclusive, non-transferable, revocable license to install and use the Service for your own lawful purposes. You agree not to:

copy, modify, distribute, sell, sublicense, lease, or host the Service for others;
reverse engineer or attempt to extract source code except where applicable law prohibits this restriction;
use the Service to manipulate markets, violate securities laws, breach broker or exchange rules, or misuse market data;
circumvent access controls, rate limits, security controls, billing, or beta restrictions;
upload malicious code or interfere with the Service, update feeds, infrastructure, or other users.

8. Your Content and Data

You retain ownership of strategies, notes, watchlists, settings, prompts, and other content you create. You grant Dominapp a limited license to host, process, transmit, and display that content only as needed to operate, secure, support, and improve the Service. You are responsible for ensuring that your content is lawful and that you have the rights to use it.

9. Third-Party Services and Names

The Service may interoperate with third-party services including brokers, Google, Firebase, payment providers, market data providers, and AI model providers. Their services are governed by their own terms and policies. We are not responsible for third-party services, data, outages, restrictions, pricing, or decisions.

Third-party names and logos, including AI providers and brokers, are property of their respective owners. References to them describe interoperability and do not imply affiliation, sponsorship, or endorsement unless expressly stated.

10. Intellectual Property

The Service, software, design, branding, website, and documentation are owned by Dominapp or its licensors and are protected by intellectual property laws. These Terms do not grant rights to the ByeBear or Dominapp names, marks, or branding except as needed to identify the Service.

11. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, SECURITY, AVAILABILITY, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE, MARKET DATA, AI OUTPUT, BROKER CONNECTIONS, DOWNLOADS, OR UPDATE FEEDS WILL BE ACCURATE, COMPLETE, TIMELY, SECURE, OR ERROR-FREE.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, DOMINAPP AND ITS OFFICERS, EMPLOYEES, CONTRACTORS, SUPPLIERS, AND LICENSORS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, TRADING LOSSES, LOST PROFITS, LOST DATA, LOST GOODWILL, BUSINESS INTERRUPTION, OR COST OF SUBSTITUTE SERVICES ARISING OUT OF OR RELATED TO THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS RELATED TO THE SERVICE WILL NOT EXCEED THE AMOUNTS YOU PAID TO DOMINAPP FOR THE SERVICE IN THE TWELVE MONTHS BEFORE THE CLAIM AROSE, OR USD $100 IF YOU PAID NOTHING.

13. Indemnification

You agree to indemnify and hold harmless Dominapp from claims, losses, liabilities, damages, fines, penalties, and expenses, including reasonable legal fees, arising from your use of the Service, trading activity, broker account, content, violation of these Terms, or violation of law or third-party rights.

14. Changes

We may update these Terms from time to time. If changes are material, we will provide reasonable notice through the app, website, or other appropriate means. Your continued use after the effective date means you accept the updated Terms.

15. Governing Law and Disputes

These Terms are governed by the laws of the State of Israel, without regard to conflict-of-law principles. The competent courts in Tel Aviv-Jaffa, Israel will have exclusive jurisdiction over disputes arising out of or relating to these Terms or the Service, unless applicable law requires otherwise.
